Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Chiron Pay platform, websites, and related services (collectively, the "Service") provided by Chiron Pay ("Chiron Pay", "we", "us", or "our"). By creating an account, accepting these Terms during signup, or using the Service, you agree to be bound by these Terms on behalf of yourself and the business you represent ("Customer", "you", or "your").

If you do not agree to these Terms, do not use the Service. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

1. The Service

Chiron Pay is an accounts receivable automation platform. The Service lets you import or sync invoices, send payment reminders by email, SMS, and WhatsApp, generate payment links and checkout pages for your customers ("Debtors"), propose payment plans, and use AI-assisted agents to draft and send collection communications on your behalf and under your configuration.

Chiron Pay is a software tool, not a debt collection agency. All collection activity carried out through the Service is performed by you, the creditor, in your own name and on your own invoices. We do not purchase debt, do not collect debt on our own behalf, and do not act as your agent in any legal proceeding. Nothing in the Service constitutes legal, financial, or debt-recovery advice.

2. Eligibility and Accounts

The Service is offered to businesses only and is not intended for personal, family, or household use. You represent that you are at least 18 years old, that you have authority to bind the business you register, and that the information you provide is accurate and kept up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your workspace, including activity by team members you invite. Notify us immediately at support@chironpay.com if you suspect unauthorized use of your account.

3. Subscriptions, Credits, and Billing

The Service is available under paid subscription plans billed in advance on a recurring basis through our payment processor, Stripe. We do not offer a free plan or free trial. Workspaces without an active subscription have read-only access to previously created data.

  • Plan allowances. Each plan includes a monthly allowance of outreach credits that are consumed when the Service sends communications on your behalf. Allowances refresh each billing cycle as described on our pricing page and in your billing settings.
  • Credit top-ups. You may purchase additional credit packs as one-time purchases. Credits that have been consumed are non-refundable.
  • Fees on collected payments. Chiron Pay charges no commission, percentage, or success fee on amounts your Debtors pay you. Payment processing fees charged by Stripe or other payment providers are between you and those providers.
  • Cancellation. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period and amounts already paid are non-refundable except where required by law.
  • Price changes.We may change prices with at least 30 days' notice; changes apply from your next billing cycle.
  • Taxes. Fees are exclusive of applicable taxes, which you are responsible for.

4. Your Responsibilities and Acceptable Use

You are solely responsible for your use of the Service. You agree that you will:

  • only pursue debts that are genuinely owed to you, lawful, and accurately described in the data you upload or sync;
  • have the lawful right to contact each Debtor through the channels you enable, including any consent required for SMS or WhatsApp messaging in the Debtor's jurisdiction;
  • comply with all laws applicable to your collection activity, including consumer-protection, anti-harassment, data-protection, telecommunications, and anti-spam laws of the jurisdictions where your Debtors are located;
  • review and configure the AI agent's tone, channels, contact limits, and quiet hours appropriately for your market;
  • not use the Service to harass, threaten, deceive, or mislead any person, to misrepresent the amount or legal status of a debt, or to impersonate any government body or law firm.

We may suspend or limit your workspace if we reasonably believe your use violates this section, harms Debtors, damages the deliverability or reputation of our sending infrastructure, or creates legal risk for us.

5. AI-Generated Communications

Parts of the Service use artificial intelligence to draft, schedule, and send communications and to suggest actions such as payment plans. AI output can be inaccurate or incomplete. The Service gives you controls β€” including tone settings, channel restrictions, discount limits, follow-up caps, and review surfaces β€” and you are responsible for the configuration you choose and for all communications sent from your workspace, whether drafted by you or by the AI agent. We do not guarantee that any communication will result in payment.

6. Payments and Payouts

Debtor payments are processed by Stripe and, where you enable them, other third-party payment providers. Depending on your payment collection mode, funds are either settled to your own connected payment account or collected on our platform account and settled to you. In all cases, your relationship with the payment provider is governed by that provider's terms, and Chiron Pay does not deduct any share of the amounts collected. We are not a bank and do not provide money transmission, escrow, or deposit services.

7. Third-Party Services

The Service interoperates with third-party services you choose to connect, such as Stripe, Xero, and messaging providers. Your use of those services is subject to their own terms and privacy policies, and we are not responsible for their acts or omissions. If you connect an accounting integration, you authorize us to access and sync the data needed to operate the Service.

8. Your Data and Intellectual Property

You retain all rights to the data you submit to the Service, including invoice and Debtor data ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service. We process personal data within Customer Data as your processor, as described in our Privacy Policy.

Chiron Pay and its licensors own the Service, including all software, designs, and models used to operate it. You may not copy, modify, resell, or reverse engineer the Service. If you give us feedback, we may use it without restriction or obligation to you.

9. Confidentiality

Each party will protect the other's non-public information with at least the same care it uses for its own confidential information, and will use it only as needed to perform under these Terms. This obligation does not apply to information that is public, independently developed, or lawfully received from a third party, and does not prevent disclosures required by law.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that messages will be delivered, or that any amount owed to you will be recovered.

11. Limitation of Liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or to either party's liability that cannot be limited by law.

12. Indemnification

You will defend and indemnify Chiron Pay against claims, damages, and costs (including reasonable legal fees) arising from Customer Data, your collection practices, your violation of these Terms, or your violation of any law or the rights of any third party, including any Debtor.

13. Suspension and Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, or unlawful use. You may terminate at any time by cancelling your subscription. For 30 days after termination, you may request an export of your Customer Data, after which we may delete it in accordance with our retention practices.

14. Changes to These Terms

We may update these Terms from time to time. For material changes we will give you reasonable advance notice by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of Malaysia, without regard to conflict of laws principles, and the courts of Malaysia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
